Terms of Service

By using the Web-Shop.com.hr website and our services, you accept these Terms of Service. If you do not agree with these terms, please do not use our services. These terms comply with Croatian Law of Obligations, EU directives, and UK Contract Law.

• 'Services' - bespoke web shop and commerce-system development, their integration into the Client's existing systems, and related services • 'Client' - individual or legal entity using our services • 'Project' - agreed scope of work between us and the Client • 'System' - the custom-built software solution, including interfaces, services and integrations delivered as part of the Project

We provide the following services: • Bespoke web shop and commerce-system development • Integration with the Client's existing systems (ERP, CRM, warehouse, payments, logistics) • Microservice-based and headless architecture • AI orchestration and business-process automation • Maintenance and support (as agreed) Details of each project are defined in a separate contract or proposal.

• Client submits inquiry via contact form • We provide initial consultation and project assessment • We prepare a detailed proposal with scope, timeline, and pricing • After proposal acceptance, we execute a written contract • Project begins after contract signing and advance payment (typically 30-50%)

• Prices are determined individually for each project • All prices are in EUR • Payment is made according to agreed schedule (typically: advance, milestone payments, final payment) • We accept bank transfers and other agreed payment methods • Prices include VAT according to applicable Croatian, EU, or UK regulations • Payment delays may result in work suspension and statutory late payment interest

• Deadlines are defined in the contract for each project • Deadlines depend on timely delivery of materials and system access by the Client • We reserve the right to extend deadlines in case of force majeure or scope changes • Client has the right to revisions according to agreed terms • Final project delivery occurs after Client approval and final payment

• All copyrights to developed code transfer to the Client after final payment • We retain the right to use generic components and libraries in future projects • Client warrants they have rights to all materials provided (logos, images, texts) • Third-party licences (open-source libraries, hosting, payment and infrastructure providers) are subject to their terms • We retain the right to display the project in our portfolio (with Client consent)

• We warrant that services will be provided professionally and according to industry standards • Warranty period for code defects: 90 days from project delivery • We do not warrant for issues caused by third parties (hosting, external APIs, infrastructure providers) • Our liability is limited to the amount paid for the project • We are not liable for indirect damages, lost profits, or data loss • Client is responsible for regular backups and maintenance after project delivery

• We commit to maintaining confidentiality of all information obtained during the project • Client commits to maintaining confidentiality of our business processes and methodologies • Confidentiality remains in effect for 5 years after project completion • Exception: information that is publicly available or legally required

• Either party may terminate the contract with 30 days written notice • In case of termination, Client pays for work completed until termination date • We reserve the right to immediate termination in case of non-payment or breach of terms • Client has the right to termination in case of significant delays or poor quality work

Processing of personal data is governed by our Privacy Policy in accordance with GDPR, Croatian Personal Data Protection Act, and UK Data Protection Act 2018.

• For clients from Croatia: Croatian law applies, Zagreb court has jurisdiction • For clients from EU: Client's country law or Croatian law applies (as agreed) • For clients from UK: UK law applies, London court has jurisdiction • Disputes are primarily resolved amicably or through mediation

We reserve the right to amend these Terms of Service. Amendments take effect 30 days after publication on the website. Continued use of services after amendments is considered acceptance of new terms.
